Terms of Service

These terms govern your use of WaAPI (“we”, “us”). By creating an account or using the service you agree to them.

1. What the service is

WaAPI is a hosted programming interface that lets your application send and receive messages, and manage chats, groups and channels, through a messaging account you connect to it. You connect an account by linking it as an additional device, the same way you would link a desktop client.

We provide infrastructure; the connected account stays yours. We operate the servers and the client software that keep your instance running, and we never hand that software over to you — you are buying access to a service we run, not a licence to software you install. The messaging account you link remains registered to you: you are its account holder, you accepted that platform's own terms when you opened it, and messages sent through your instance are sent from your number, on your instruction, with content you determine. We transmit them; we do not originate them.

We are an independent service. We are not affiliated with, endorsed by or sponsored by WhatsApp LLC or Meta Platforms, Inc., and we are not a Business Solution Provider or official partner of theirs. WhatsApp is a trademark of WhatsApp LLC. We do not control that platform, its rules, or its enforcement.

2. Accounts and eligibility

You need an account to use the service. You are responsible for the accuracy of your registration details, for keeping your credentials and API tokens confidential, and for everything done through your account and tokens. Tell us promptly if you believe they have been compromised.

The service is intended for business and professional use. You must be legally able to enter into a contract, and you must be entitled to use every messaging account you connect.

3. Subscriptions, pricing and billing

The service is sold per connected instance. Each instance is a separate monthly subscription at the price shown at checkout, billed in advance. There are no per-message fees, no message caps and no setup fee. You may run as many instances as you need; each is billed separately.

Payment is processed by our resellers FastSpring and Stripe. Their terms apply to the payment transaction itself. Prices are shown in your local currency at checkout, and taxes are determined and displayed there.

Where a free instance or a trial period is offered, the conditions stated at the time of the offer apply. Unless stated otherwise, a subscription continues after any trial and is billed normally.

4. Term, renewal and cancellation

Subscriptions renew monthly until cancelled. You can cancel at any time from your account. Cancellation takes effect at the end of the period you have already paid for — the instance keeps working until then, and no further charge is made afterwards. We do not refund the remaining part of a paid period unless the law requires it.

We may suspend or terminate an account for non-payment, for a breach of section 5, or where required by law. Where the circumstances allow it, we will tell you first and give you a chance to put it right.

5. Acceptable use

You must not use the service to send unsolicited bulk messages, to message people who have not agreed to hear from you, or for fraud, phishing, impersonation, harassment or any unlawful purpose. You must comply with the rules of the messaging platform you connect, and with the marketing and data-protection law that applies to you and to the people you message — including obtaining consent where it is required.

You are responsible for the content you send and for having a lawful basis to contact each recipient. We may apply automated checks for abusive content and may refuse or stop delivery where we reasonably suspect a breach of this section.

6. Availability, changes and support

We aim for continuous availability but do not guarantee uninterrupted service. Planned maintenance, third-party failures and changes made by the messaging platform can cause interruptions. Current fleet status is published at https://waapi.app/status.

We develop the service continuously and may change, add or remove features. Where a change materially reduces functionality you rely on, we will give reasonable notice. Support is provided through the ticket system in your account.

7. Platform restrictions — please read

The messaging platform you connect is operated by a third party that sets its own rules and may restrict, suspend or block any number at its discretion. Sending behaviour that it considers abusive — high volume, messaging people who did not opt in, new numbers sending immediately — makes this considerably more likely.

We cannot prevent this and do not warrant against it. A restriction imposed by the platform on a number you connect is not a failure of our service, does not suspend your payment obligation, and is not a ground for a refund. We remove the infrastructure and session-operations burden; we do not and cannot remove the platform-compliance risk, which stays with you.

8. Your data

How we handle personal data is described in our Privacy Policy, which forms part of these terms.

To operate an instance we store the session data needed to keep it connected, including encrypted session backups in object storage, and the configuration you provide such as webhook endpoints and event selections. Message content passes through our infrastructure so that it can reach you, or leave the account you connected on your instruction. Deleting an instance deletes its stored session.

You remain the controller of the personal data of the people you message. You are responsible for informing them and for having a lawful basis, and for responding to their requests.

9. Intellectual property

The service and the software we run to provide it remain ours and are not licensed to you. What you receive is a non-exclusive, non-transferable right to use the hosted service during your subscription, for your own business purposes.

Our client libraries are a separate matter: the PHP SDK, the Laravel package and the n8n node are published under the MIT licence, and that licence — not this section — governs what you may do with them.

You keep all rights in your own content and data. You may not resell, sublicense or white-label the hosted service without our written agreement, nor copy, decompile or reverse-engineer it except where the law expressly permits.

10. Liability

The service is provided with reasonable skill and care but without any warranty that it will be uninterrupted, error-free or fit for a particular purpose.

We are liable without limitation for damage caused intentionally or by gross negligence, and for personal injury. In cases of slight negligence we are liable only for breach of an obligation essential to the contract, and then only for foreseeable damage typical of this kind of contract. Our aggregate liability in any twelve-month period is limited to the fees you paid us in that period. We are not liable for lost profits, lost business or indirect damage, nor for acts of the messaging platform, including restrictions under section 7. Mandatory statutory liability is unaffected.

11. Changes to these terms

We may amend these terms. We will announce material changes by e-mail or in your account at least 30 days before they take effect. If you do not accept a change, you may cancel before it takes effect; continuing to use the service afterwards counts as acceptance.

12. Governing law and jurisdiction

These terms are governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Zug, Switzerland, to the extent the law permits such an agreement. Where you are a consumer, the mandatory protections and the courts of your place of residence remain available to you.

13. Miscellaneous

If a provision of these terms is or becomes invalid, the remainder stays in force. We may transfer these terms to a successor in the event of a reorganisation or sale of the business; you may transfer them only with our written agreement.
